Terms of Service

Plain-English summary: NorthPoint is a marketplace that connects you with local restaurants, grocery stores, and couriers in the Denali Borough. We don't make or own the food, and we don't directly employ the couriers — we just provide the platform. By using the Service you agree to pay for what you order, treat other users respectfully, and accept that disputes will be resolved under Alaska law.

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and NorthPoint Delivery ("NorthPoint," "we," "us," or "our"). By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Service.

2. The Service

NorthPoint operates a marketplace that connects customers with local restaurants and grocery stores ("Partners") and with couriers who deliver orders. We provide the technology, payment processing, and order routing. We do not prepare food, stock groceries, or perform deliveries ourselves.

The Service is available primarily in the Healy and Denali, Alaska area and is offered seasonally, with peak availability May through September. Availability and coverage area may change at any time.

We reserve the right to refuse service, terminate accounts, or remove content at our discretion, particularly in cases of suspected fraud, abuse, or violation of these Terms.

Placing orders

When you place an order through the Service, you authorize NorthPoint to transmit your order to the relevant Partner and a courier, and to charge your selected payment method for the total order amount including item prices, delivery fees, service fees, applicable taxes, and any tip you add.

Pricing and availability

Item prices and availability are set by each Partner and may change without notice. Final order pricing — including item totals, fees, and tax — is shown to you at checkout before you confirm payment.

Cancellations and modifications

You can cancel an order without charge before the Partner accepts it. Once the Partner has accepted your order or begun preparation, the order is generally non-cancellable, though we may issue partial or full refunds at our discretion for orders that cannot be fulfilled, are significantly delayed, or have material quality issues.

Delivery

Estimated delivery times are estimates only and are not guaranteed. Delays may result from weather, road conditions, Partner preparation times, courier availability, or other factors. If a courier cannot reach your delivery address (incorrect address, unreachable contact, etc.) the order may be returned and refunded less reasonable delivery costs.

Payment processing

All payments are processed through Stripe. NorthPoint does not store or have access to your full card information. By providing a payment method, you represent that you are authorized to use it.

Refunds

We process refunds back to your original payment method. Bank processing times typically result in funds appearing in your account within 5–10 business days. NorthPoint determines refund eligibility on a case-by-case basis; final decisions are at our discretion.

8. Tips

Tips are voluntary. 100% of any tip you add is passed through to the courier who delivered your order. Tips are not used to subsidize courier base pay.

9. User content

You may submit content to the Service — reviews, ratings, photos, chat messages, support requests, etc. ("User Content"). You retain ownership of your User Content, but you grant NorthPoint a worldwide, royalty-free, sublicensable license to use, display, and distribute it in connection with operating and promoting the Service.

You represent that your User Content does not infringe on any third party's rights and does not violate any law.

The Service — including all software, design, branding, logos, and copyrightable content — is owned by NorthPoint or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.

"NorthPoint," the NorthPoint Delivery logo, and related marks are trademarks of NorthPoint Delivery. You may not use these marks without our prior written consent.

12. Third-party services

The Service integrates with third-party services such as Stripe (payments), Apple (Sign-In, Pay, Push Notifications), Google (Maps, Places, Sign-In), Cloudinary (image hosting), and others. Your use of those services is governed by the respective third party's terms and privacy policies. We are not responsible for the practices or content of third parties.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by law, NorthPoint disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the quality, safety, or accuracy of any food, product, listing, or information provided by Partners or couriers.

14. Limitation of liability

To the maximum extent permitted by law, NorthPoint and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service.

Our total cumulative liability arising from or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless NorthPoint and its officers, directors, employees, and agents from any claim, demand, loss, or liability (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or any rights of a third party; (d) your User Content; or (e) for Partners and couriers, your business operations and the products or services you provide.

16. Dispute resolution

Informal resolution first

Before filing any formal claim, you agree to first contact us at hello@northpointdelivery.com and attempt to resolve the dispute informally. Most issues can be resolved this way.

Binding arbitration

If we cannot resolve a dispute informally within 60 days, you and NorthPoint agree to resolve any remaining dispute through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Alaska unless you and NorthPoint agree to another location. The arbitrator's decision will be final and binding.

Class action waiver

You and NorthPoint agree to bring claims only on an individual basis and not as part of a class, collective, or representative action. The arbitrator may not consolidate or join claims of multiple persons.

Exceptions

Either party may bring an individual action in small-claims court, or seek injunctive relief in court to prevent infringement of intellectual property rights, without first attempting informal resolution or arbitration.

17. Governing law

These Terms are governed by the laws of the State of Alaska, without regard to its conflict-of-laws principles. Where arbitration does not apply, exclusive jurisdiction lies with the state and federal courts located in the Fourth Judicial District of Alaska.

18. Account termination

You may close your account at any time by emailing hello@northpointdelivery.com.

We may suspend or terminate your account immediately, without notice or liability, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, payment failures, or compromise of platform security.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

19. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date. For material changes, we'll give you notice through the app or by email at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
